1. Agreement to Terms

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

• Retained executive search services
• Contingent recruitment placement
• Recruitment-as-a-Service (RaaS) solutions
• Healthcare and technology talent acquisition
• Career placement assistance for job seekers
• AI-powered candidate sourcing and screening

3. Eligibility and User Accounts

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

3.2 Account Registration

Some features may require account registration. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Client Terms

4.1 Service Agreements

Specific terms for recruitment services are detailed in individual service agreements. These Terms supplement but do not replace specific contractual obligations outlined in signed service agreements.

4.2 Fees and Payment

• All fees are specified in service agreements
• Payment terms vary by service type (retainer, contingent, subscription)
• Late payments may incur interest charges as specified in agreements
• Clients are responsible for any third-party costs (background checks, assessments)

4.3 Client Obligations

Clients agree to:

• Provide accurate job descriptions and requirements
• Respond to candidate submissions in a timely manner
• Comply with all applicable employment laws and regulations
• Not circumvent Alivio to directly hire candidates we introduce
• Honor guarantee periods and replacement processes

4.4 Exclusivity and Non-Circumvention

For any candidate introduced by Alivio, clients agree not to hire, engage, or solicit that candidate without compensating Alivio according to agreed fee structures. This obligation extends for 12 months from the date of introduction.

5. Candidate Terms

5.1 Candidate Representation

By submitting your information to Alivio, you authorize us to:

• Present your credentials to potential employers
• Conduct reference and background checks
• Verify qualifications and certifications
• Store your information in our candidate database

5.2 Candidate Obligations

Candidates agree to:

• Provide accurate and truthful information about qualifications and experience
• Notify us immediately of any changes to availability or job search status
• Respond promptly to interview opportunities
• Not misrepresent credentials or work history
• Participate in good faith throughout the placement process

5.3 No Fees for Candidates

Alivio does not charge fees to candidates for placement services. All fees are paid by hiring employers.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality on our website and platform, including but not limited to text, graphics, logos, software, and methodologies, are owned by Alivio and protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

6.3 User Content

By submitting content to our platform (resumes, company information, feedback), you grant us a non-exclusive, worldwide license to use, store, and process that content to provide our services.

7. Prohibited Uses

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Scrape, harvest, or collect user data without permission
• Interfere with or disrupt our services or servers
• Impersonate any person or entity
• Submit false or misleading information

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific placement outcomes or hiring results.

8.2 Limitation of Liability

To the maximum extent permitted by law, Alivio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

8.3 Employment Relationship Disclaimer

Alivio is not a party to any employment relationship between clients and candidates. All employment decisions, terms, and conditions are solely between the employer and employee.

9. Indemnification

You agree to indemnify, defend, and hold harmless Alivio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our data practices as described in the Privacy Policy.

11. Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
